Welcome to SaySo! Prior to accessing or using our Services, please carefully review the following Terms of Service.
These Terms of Service ("Terms") govern your use of the products and services that we provide to you, as well as any associated applications, software, and websites (collectively referred to as our "Services"). These Terms constitute a legally binding contract between you and us. By accessing our Services, you agree to be bound by these Terms.
Our Privacy Policy explains the manner in which we collect and use personal information. Although it is not part of these Terms, it constitutes an important document that you are advised to review carefully.
1. Account Creation and Access
Minimum Age Requirement. You must be at least 18 years old or the minimum age under the laws of your jurisdiction to consent to use the Services (whichever is higher) to lawfully use the Services.
Your Account Information. To use our Services, we may require you to register for an Account first. You warrant that you will provide the correct, up-to-date, and complete Account information and allow us to use such information to provide the Services to you. Any notification we send to you via your account information shall be deemed valid and legal notices that comply with relevant legal requirements.
You shall not share your Account login information with anyone else, nor make your account accessible to others. You are fully responsible for all activities conducted under your Account. If you register an account or use the Services on behalf of another individual or entity, you must have the authority to accept these Terms on their behalf.
You may request the closure of your Account after completing the specified procedures.
Trial and Additional Services. In certain cases, we may permit you to try the Services for a limited duration or use a version of the Services with the restricted functionality. Such trial use of the Services shall be strictly limited to your personal, non-commercial purposes.
2. Inputs, Outputs, Actions, and Materials
General Provisions. You may interact with our Services through various formats, which we refer to as "inputs". Based on your inputs, our Services may generate responses ("Outputs") or enable actions on your behalf--such as system interactions ("Actions"). Inputs and Outputs are collectively defined as "Materials".
Rights and Obligations. You are solely responsible for all User Submissions you provide to our Services and any Service Actions initiated through the platform. By sending User Submissions to our Services, you confirm and guarantee that you hold all necessary rights, licenses, and authorizations, allowing us to process your submissions in line with these Terms and deliver the Services to you--including: integrating with third-party systems, sharing Related Contents with others as you direct, and carrying out Service Actions. You also represent that submitting User Submissions or asking us to perform Service Actions will not violate these Terms, our Usage Guidelines, or any applicable laws, rules, or regulations. To the extent allowed by applicable laws, you keep all rights, titles, and interests in the User Submissions you provide (as between you and us).
Limitations on Reliance on Service Responses and Actions. Artificial intelligence and large language models are evolving technologies, with ongoing advancements in the accuracy, reliability, and safety. By using our Services, you acknowledge and agree to the followings:
- Service Responses may not be consistently accurate. They could contain significant errors, even if their detailed or specific nature makes them appear correct.
- Service Actions may have flaws or fail to function as you expected.
- You should not rely on any Outputs or Actions without independently confirming their accuracy.
- The Services and any Outputs may not reflect the correct, up-to-date, or complete information.
- The views expressed in the Outputs do not necessarily reflect our own.
Our Usage of Related Contents. We may use Related Contents to deliver, sustain, and optimize the Services and to develop other products and solutions, including training our models. Additionally, we may use Related Contents to comply with legal obligations, enforce our terms and policies, and safeguard the security of our Services.
Third-Party Outputs. Because generative AI models inherently may produce non-unique results, Outputs generated by the Services from materials provided by third parties ("Third-Party Outputs") could resemble or even be identical to the outputs generated from your own Inputs. You acknowledge that Third-Party Outputs do not belong to you and that you hold no rights, ownership, or interests in any Third-Party Outputs.
3. Service Usage Terms
You may only access and use our Services in strict adherence to these Terms, including any supplemental terms we may publish on the Services from time to time. You are fully responsible for all activities conducted under the Account through which you access the Services.
You may not access or use, or help another person to access or use, our Services in the following ways:
- In any manner that violates any applicable law or regulation, including but not limited to any law about exporting the data or software to and from China or other countries.
- To develop any products or services competing with our Services, including: to develop or train any artificial intelligence or machine learning algorithm or model, or to resell the Services.
- To decompile, reverse engineer, disassemble, or otherwise reduce our Services to the human-readable form.
- To crawl, scrape, or otherwise harvest the data or information from our Services other than as permitted under these Terms.
- To use our Services, Materials, or Actions to obtain unauthorized access to any system or information, or to deceive any person.
- To infringe, misappropriate, or violate intellectual property or other legal rights (including the right of publicity or privacy).
- To engage in any other conduct that restricts or inhibits any person from using or enjoying our Services.
- To engage in any other conduct which, under our reasonable belief, exposes us, our users, affiliates, or any third party to any kind of liability, damages, or detriment of any type, including reputational harm.
You also must not abuse, harm, interfere with, or disrupt our Services, including, for example, introducing viruses or malware, or bypassing any of our systems or protective measures.
4. Our Usage Policy
Our Usage Guidelines apply to all users who can submit submissions to our products and/or services. These Guidelines are designed to safeguard user safety and promote the responsible use of our offerings. If we determine, in our sole discretion, that you have breached the Usage Guidelines, we reserve the right to limit, suspend, or terminate your access to our products and services. Additionally, we may block or adjust model outputs if the corresponding submissions violate these Guidelines.
(1) Do not Violate Applicable Laws or Engage in Illegal Activities.
This includes using our products or services to:
- Acquire or exchange illegal or controlled substances.
- Engage in or facilitate human trafficking or prostitution.
- Infringe, misappropriate, or violate the intellectual property rights of any third party.
- Violate any other applicable law or regulation.
(2) Do Not Compromise Critical Infrastructure.
This includes using our products or services to:
- Facilitate the destruction or disruption of critical infrastructure such as power grids, water treatment facilities, medical devices, telecommunication networks, or air traffic control systems.
- Obtain the unauthorized access to critical systems such as voting machines, healthcare databases, and financial markets.
- Interfere with the operation of military bases and related infrastructure.
- Any other similar actions that are prohibited by applicable laws.
(3) Do Not Compromise Computers or Network Systems.
This includes using our products or services to:
- Discover or exploit vulnerabilities in systems, networks, or applications without authorization of the system owner.
- Gain unauthorized access to systems, networks, applications, or devices through technical attacks or other engineering manners.
- Create or distribute malware, ransomware, or other types of malicious code.
- Develop tools for denial-of-service attacks or managing botnets.
- Create tools designed to intercept the communication or monitor devices without the authorization of the system owner.
- Develop persistent access tools designed to operate for normal system security levels, including firmware modifications or hardware implants.
- Create automated tools designed to compromise multiple systems for malicious purposes.
- Bypass security controls such as authenticated systems, endpoint protection, or monitoring tools.
(4) Do Not Develop or Design Weapons.
This includes using our products or services to:
- Produce, modify, design, or illegally acquire weapons, explosives, dangerous materials, or other systems designed to cause harm to or loss of the human life.
- Design or develop weapons and delivery processes for the deployment of weapons.
- Circumvent regulatory controls to acquire weapons or their precursors.
- Synthesize, or otherwise develop, high-yield explosives or biological, chemical, radiological, or nuclear weapons or their precursors, including modifications to evade detection or medical countermeasures.
(5) Do Not Incite Violence or Hateful Behavior.
This includes using our products or services to:
- Incite, facilitate, or promote any act of violence or intimidation targeting individuals, groups, animals or property, violent extremism, terrorism, or hateful behavior.
- Provide material supports for organizations or individuals involved in the violent extremism, terrorism, or hateful behavior.
- Promote discriminatory practices or behaviors against individuals or groups on the basis of one or more protected attributes such as race, ethnicity, religion, national origin, gender, sexual orientation, or any other identifying trait.
(6) Do Not Compromise Privacy or Identity Rights.
This includes using our products or services to:
- Violate privacy rights under applicable privacy laws, such as sharing personal information without consents or accessing private data unlawfully.
- Misuse, collect, solicit, or otherwise gain access without permission to private information such as non-public contact details, health data, biometric or neural data (including facial recognition), or confidential or proprietary data.
- Impersonate a human by presenting results as human-generated, or using results in a manner intended to convince a natural person that he is communicating with a natural person when he is not.
(7) Do Not Compromise Children's Safety.
This includes using our products or services to:
- Create, distribute, or promote child sexual abuse material ("CSAM"), including AI-generated CSAM.
- Facilitate minor grooming, including generating contents designed to impersonate a minor, as well as the trafficking, sextortion, or any other form of exploitation of a minor.
- Promote or facilitate pedophilic relationships, including via roleplay with the model.
- Fetishize or sexualize minors, including in fictional settings or via roleplay with the model.
For the purposes of these Terms, a "minor" or "child" is defined as any individual under the age of 18, irrespective of the jurisdiction governing such individual. When we detect CSAM (including AI-generated CSAM), or coercion or enticement of a minor to engage in sexual activities, we will report it to relevant authorities.
(8) Do Not Create Psychologically or Emotionally Harmful Contents.
This includes using our products or services to:
- Facilitate, promote, or glamorize any form of suicide or self-harm, including disordered eating and unhealthy or compulsive exercise.
- Engage in behaviors that promote the unhealthy or unattainable body image or beauty standards, such as using the model to critique anyone's body shape or size.
- Shame, humiliate, intimidate, bully, harass, or celebrate the suffering of individuals.
- Coordinate the harassment or intimidation of an individual or group.
- Generate contents depicting animal cruelty or abuse.
- Promote, trivialize, or depict graphic violence or gratuitous gore, including sexual violence.
- Develop a new product or service or support an existing product or service that employs or facilitates deceptive techniques with the intent of causing emotional harm.
(9) Do Not Create or Spread Misinformation.
This includes using our products or services to:
- Create or disseminate deceptive or misleading information about laws, regulations, procedures, practices, or standards established by an institution, entity, or governing body, or specifically create conspiratorial narratives meant to target a specific group, individual, or entity.
- Impersonate real entities or create fake persons to falsely attribute contents or mislead others about its origin without consents or legal rights.
- Provide false or misleading information related to medical, health, or science issues.
(10) Do Not Undermine Democratic Processes or Engage in Targeted Campaign Activities.
This includes using our products or services to:
- Engage in personalized voting or campaign targeting based on individual profiles or data.
- Create political contents designed to deceive or mislead voters, including synthetic media of political figures as well as artificial or deceptive political movements in which the source, scale or nature of the campaign or activities is misrepresented.
- Generate contents designed to suppress voter turnout or discourage legitimate political participation through deception or intimidation, or automated communication to public officials or voters, which conceal their artificial origin, or engage in systematic vote solicitation that could undermine election integrity.
- Generate or disseminate false or misleading information in political and electoral contexts, including about candidates, parties, policies, voting procedures, or election security.
- Engage in political lobbying or grassroots advocacy using false or fabricated information, or create lobbying or advocacy materials containing demonstrably false claims about facts, data, or events.
- Incite, glorify, or facilitate the disruption of electoral or civic processes, including interference with voting systems, vote counting, or certification processes.
(11) Do Not Use for Criminal Justice, Censorship, Surveillance, or Prohibited Law Enforcement Purposes.
This includes using our products or services to:
- Utilize models to assign scores or ratings to individuals based on the assessment of their trustworthiness or social behavior without notification or their consents.
- Make determinations on criminal justice applications, including making decisions about or determining eligibility for parole or sentencing.
- Target or track a person's physical location, emotional state, or communication without their consents.
- Analyze or identify specific contents to a censor on behalf of a government organization.
- Utilize models as part of any biometric categorization system for categorizing people based on their biometric data to infer their race, political opinion, trade union membership, religious or philosophical belief, sex life, or sexual orientation.
- Utilize models as part of any law enforcement application that violates or impairs the liberty, civil liberty, or human right of natural persons.
(12) Do Not Engage in Fraudulent, Abusive, or Predatory Practices.
This includes using our products or services to:
- Promote or facilitate the generation or distribution of spam, the production, acquisition, or distribution of counterfeit or illicitly acquired goods.
- Generate falsified documents, including fake IDs, licenses, currency, or other government documents, or contents for fraudulent activities, schemes, scams, phishing, or malware that can result in direct financial or psychological harm.
- Develop, promote, or otherwise facilitate the sale or distribution of fraudulent or deceptive products, or misleading digital contents such as fake reviews, comments, or media.
- Engage in or facilitate the use of abusive or harassing debt collection practices, multi-level marketing, pyramid schemes, or other deceptive business models that use high-pressure sales tactics or exploit participants, or otherwise, payday loans, title loans, or other high-interest, short-term lending practices that exploit vulnerable individuals.
- Engage in deceptive or abusive practices that exploit individuals based on age, disability, or a specific social or economic situation.
- Develop a product or support an existing service that deploys subliminal, manipulative, or deceptive techniques to distort behavior by impairing decision-making.
- Engage in actions or behaviors that circumvent the guardrails or terms of other platforms or services.
- Plagiarize or submit AI-assisted work without proper permission or attribution.
(13) Do Not Abuse our Platform.
This includes using our products or services to:
- violate our Usage Policy by coordinating malicious activities across multiple accounts to avoid detection or circumvent product guardrails, or by generating identical or similar inputs.
- Utilize automation in account creation or to engage in spammy behavior.
- Use of a different account, such as the creation of a new account, use of an existing account, or providing access with a person or entity that was previously banned, to circumvent bans and restrictions on our platform.
- Intentionally bypass capabilities, restrictions, or guardrails established within our products for the purposes of instructing the model to produce harmful outputs (e.g., jailbreaking or prompt injection) without prior authorization from us.
- Utilization of inputs and outputs to train an AI model (e.g., "model scraping" or "model distillation") without our prior written consents.
- Record or transcribe any other person's speech without consent.
(14) Do Not Generate Sexually Explicit Contents.
This includes using our products or services to:
- Depict or request sexual intercourse or sex acts.
- Generate contents related to sexual fetishes or fantasies.
- Facilitate, promote, or depict incest or bestiality.
- Engage in or induce erotic chats.
(15) Do Not Automatically Make High-Risk Decisions Without Human Review in Sensitive Areas.
These areas include:
- Critical infrastructure
- Financial activities and credit
- Legal
- Medical
- Compliance with laws
- Essential government services
- Education
- Housing
- Employment
- Product safety components
- National security
- Migration
5. Beta Services
SaySo may offer services and features that are still in the testing and evaluation phase ("Beta Services"). Beta Services may be less reliable than SaySo's other services. They are provided primarily to gather user feedbacks, and by using Beta Services, you grant SaySo the authority to contact you for this purpose. Certain Beta Services may be designated as confidential prior to their official release. If you access such confidential Beta Services, you agree that you will not share any information about Beta Services with others without SaySo's prior permission.
6. User Feedback
We welcome any kind of feedback, including ideas, improvement suggestions, and ratings of Service Responses corresponding to your User Submissions ("Feedback"). You are under no obligation to provide Feedback. However, by doing so, you grant us the unrestricted right to use such Feedback at our sole discretion without any obligation or compensation.
7. Third-Party Services and Links
Our Services may incorporate, interact with, or be used in conjunction with third-party contents ("Third-Party Content"), services, or integrations. We have no control over such Third-Party Content, services, or integrations, and we disclaim all responsibilities for any loss, damage, or liability that may result from your use of them. We make no representations, warranties, or guarantees of Third-Party Content, services, or integrations. Your use of any Third-Party Content, services, and integrations is at your own risk and subject to any term, condition, or policy (including privacy policy) applicable to the third-party content, services, and integrations.
8. Content Moderation
Third-Party Content is the responsibility of the individual or entity that submits it to our Services. We are not obligated to host or serve Third-Party Content. Third-Party Content may appear in Inputs or Outputs and become a part of Materials. If you encounter any Third-Party Content that under your belief violates these Terms, including breaches of the Usage Guidelines or applicable laws, you may submit a report to us.
If we become aware that any Third-Party Content (1) infringes another's copyright or any other intellectual property, neighboring right or related rights, (2) is in breach of these Terms or our Usage Policy, or (3) poses potential harm to us, our users, or third parties, we reserve the right to remove or take down some or all of such content. We may use a combination of algorithmic tools and human review to make such determination, as appropriate.
9. Copyright
SaySo respects the intellectual property rights of others. We will respond to the notices of alleged copyright infringement that comply with applicable laws and are submitted through the SaySo Copyright Report Form. In our sole discretion and in accordance with applicable laws (including the Digital Millennium Copyright Act of 1998), we reserve the right to remove or disable contents alleged to be infringing, and to terminate accounts for actual, apparent, or repeated infringement without providing any refunds.
10. Software
We may provide manual or automatic updates to our software, including our apps, without any advance notice to you. Our Software may include open-source software components. In the event of any conflict between these Terms and any other SaySo or third-party terms applicable to any portion of our Software, such as open-source license terms, such other terms will control as to that portion of our Software and to the extent of the conflict.
11. Ownership of the Services
The Services are owned, operated, and delivered by us, together with our affiliates, licensors, distributors, and service providers (collectively "Providers"). We and our Providers retain all of our respective rights, titles, and interests, including intellectual property rights, in and to the Services. Other than the rights of access and use expressly granted in our Terms, our Terms do not grant you any right, title, or interest in or to our Services.
12. Disclaimer of Warranties
We endeavor to provide high-quality services, and we are continuously working on improvements. However, there are certain aspects we can't guarantee.
To the fullest extent permitted by applicable laws, we make no warranties of any kind (whether express, implied, statutory, or otherwise) regarding the Services. We expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, and quiet enjoyment. This also includes any warranties arising from a course of dealing or trade practice. We do not warrant that the Services will be uninterrupted, accurate, or free of errors, nor do we warrant that any content will be secure, or that it will not be lost or altered.
You acknowledge and agree that any use of outputs from our Services is at your sole risk, and you will not rely on the outputs as a sole source of truth or factual information, or as a substitute for professional advice.
13. Limitations of Liability
To the fullest extent permissible under applicable laws, in no event will we, our providers, or our or their respective affiliates, investors, directors, officers, employees, agents, advisors, successors or assigns (collectively, "Our Party"), be liable for indirect, punitive, incidental, special, consequential, exemplary, or other damages arising out of or in any way related to the Services, the Materials, the Actions, or these terms, whether based on contract, tort (including negligence), strict liability, or other theories, even if Our Party have been advised of the possibility of damages, and even if the damages are foreseeable.
To the fullest extent permissible under applicable laws, Our Party's total aggregate liability to you for all damages, losses and causes of action arising out of or in any way related to the Services, the Materials, the Actions, or these terms, whether based on contract, tort (including negligence) or otherwise, will not exceed the amount you paid, if any, to us for access to or use of the Services (if any) in the six months preceding the date such damages, losses, and causes of action first arose. The foregoing limitations are essential to these terms, and we would not offer the services to you under these terms without these limitations. Currently, our Services are free and we do not provide monetary compensation.
The laws of some jurisdictions do not allow the disclaimer of implied warranties or certain types of damages, so some or all of the disclaimers and limitations of liability in these terms may not apply to you.
EU Users. If you are an EU user, we are only liable under applicable statutory provisions for acts of intent or gross negligence committed by us, its legal representatives, directors, or other vicarious agents. An "EU user" refers to a natural person acting for the purposes outside their trade, business, craft, or profession (i.e., not for commercial purposes) who habitually resides in the European Economic Area or the United Kingdom.
14. Indemnity
You agree to indemnify Our Party from and against any and all liabilities, claims, damages, expenses (including reasonable attorneys' fees and costs), and other losses arising out of or related to your breach or alleged breach of these terms and applicable laws and regulations; your access to, use of, or alleged use of the Services, the materials, or the actions; your feedback; any products or services that you develop, offer, or otherwise make available using or otherwise in connection with the Services; your violation of applicable laws or any third-party right; and any actual or alleged fraud, intentional misconduct, gross negligence, or criminal acts committed by you or your employees or agents. We reserve the right to engage the separate counsel and participate in or assume the exclusive defense and control of any matter otherwise subject to indemnification by you hereunder, in which case you agree to cooperate with us and such separate counsel as we reasonably request.
15. Authorized User
You are responsible for all actions and omissions of your Authorized User (as defined below). Any action or omission by an Authorized User that would constitute a breach of these Terms if performed by you will be considered as your breach. You must take reasonable steps to ensure that your Authorized User is aware of and comply with these Terms. An "Authorized User" is an individual employee, consultant, contractor, or agent of you who is permitted by you to access and use the Services under the rights granted to the Customer by this Agreement, solely for the benefit of you.
16. General Terms
Changes to these Terms or our Services. We are continuously working to develop and improve our Services. We may update these Terms or our Services accordingly from time to time.
Unless we specifically agree otherwise in a separate agreement with you, we reserve the right to modify, suspend, or discontinue the Services or your access to thereto, in whole or in part, at any time without notice to you. Although we will endeavor to provide you with reasonable advance notice in the event we discontinue our Services, there may be urgent situations--such as preventing abuse, responding to legal requirements, or addressing security and operability issues--where providing the advance notice is not feasible. We will not be liable for any change to or any suspension or discontinuation of the Services or your access to them.
If you continue to access the Services after we post the updated Terms on our website or otherwise give you notice of Terms' changes, you agree to the updated Terms. If you do not accept the updated Terms, you must stop using our Services.
Supplemental terms. We may offer Services or features that we believe require service-specific terms or guidelines. When using our Services, you agree to comply with any applicable guidelines, rules, or supplemental terms that may be posted on the Services from time to time ("Supplemental Terms"). If these Terms conflict with Supplemental Terms, the Supplemental Terms will govern the applicable Service.
Entire agreement. These Terms and any other terms expressly incorporated by reference form the entire agreement between you and us regarding the subject matter of our Terms.
Termination. You may stop accessing the Services at any time. We may suspend or terminate your access to the Services (including any Subscriptions) at any time without notice to you if we believe that you have breached these Terms, or if we must do so in order to comply with the law. We may exercise this right at any time and in our sole discretion, and without liability or notice to you (except where prohibited by applicable laws).
Severability. If any provision or portion of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. Any delay or failure on our part to enforce a provision of these Terms is not a waiver of our right to enforce them later.
No assignment. These Terms may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction.
Use of our brand. You may not, without our prior written permission, use our name, logos, or other trademarks in connection with products or services other than the Services, or in any other way that implies our affiliation, endorsement, or sponsorship.
Legal compliance. We may comply with governmental, court, and law enforcement requests or requirements relating to the provision or use of the Services, or to information provided to or collected under our Terms. We reserve the right, at our sole discretion, to report information from or about you, including but not limited to Inputs, Outputs, or Actions, to law enforcement.
17. Dispute Resolution
Governing law and exclusive jurisdiction. Our Terms will be governed by, and construed and interpreted in accordance with, the laws of China without giving effects to conflict of law principles. You agree that any dispute arising out of or relating to these Terms shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) Shanghai Sub-Commission for arbitration, which shall be conducted in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
